OUR APPROACH

Clear thinking.
Considered advice.

Capital has a price, and that price is rarely the interest rate on the term sheet. It is the covenant that constrains a future decision, the security that ties up an asset, the dilution that changes who controls the company.

We start from the cash conversion cycle and the asset base. What the business actually needs funding for — and for how long — determines the instrument, and mismatching tenor to purpose is the most common and most expensive financing error we see.

We assess the full cost of capital, including covenants, security, reporting burden, prepayment terms and the practical cost of a breach, not merely the headline coupon or the pre-money valuation.

We build the analysis so it can be re-run. Models are handed over documented and usable, because the decision you are making today is not the last one you will make on these numbers.

WHAT WE DO

The substance
of the work.

Capital, treasury and performance decisions grounded in the economics of the business, not the fashion of the market.

Capital structure and fundraising advisory

Debt and equity mix, instrument selection across term debt, working capital lines, NCDs and structured instruments, lender and investor discussions, and negotiation of commercial terms and covenant packages.

Treasury and working capital management

Cash forecasting and pooling, banking arrangements, receivables and payables discipline, inventory funding, and foreign exchange and interest rate exposure identification and hedging policy.

Financial modelling and feasibility studies

Project finance and expansion models, DCF and returns analysis, break-even and sensitivity testing, and independent review of models prepared by others.

Business valuation and fairness opinions

Independent valuations for transactions, regulatory requirements, disputes and reporting, with a documented basis of value, methodology and the limitations of each approach stated.

Mergers and acquisitions support

Target and buyer identification support, financial evaluation, synergy assessment, deal structuring, and post-completion integration of finance functions and reporting.

Performance and profitability analysis

Segment, product and customer profitability, cost structure review, pricing analysis, working capital release opportunities, and management reporting redesigned around the decisions it must inform.

WHO WE HELP

Is this the right
support for you?

  • Businesses raising or refinancing debt, or restructuring an existing facility
  • Companies where growth has outpaced working capital
  • Boards requiring an independent view of a valuation, model or transaction
  • Groups with foreign currency exposure and no formal hedging policy

QUESTIONS WE ARE ASKED

Start with the decision
in front of you.

  • Are we funding long-term assets with short-term money?
  • What is this covenant package going to cost us in flexibility?
  • Which products or customers are actually profitable once costs are allocated properly?
  • Is the valuation we have been offered defensible on any reasonable methodology?
